These are the ethical standards that the Third Party Marketing Association ("3PM") upholds as essential not only for its members but for the third party marketing industry as a whole. All 3PM members:

| Maintain integrity and independence. Members are discouraged from making any misleading, false or unwarranted statements to clients or prospective clients.

| Provide service in their areas of competence, being honest and forthright about their professional experience, qualifications and/or education. Members should strive to continually improve their professional knowledge and skills so that they may better serve their clients and the financial services industry.

| Divulge any potential conflicts of interest prior to accepting any contract or as soon as possible after the conflict is discovered. Full disclosure is the key.

| Safeguard any confidential information or documents entrusted to them and not divulge any confidential information without the consent of the client.
 |
| Establish personal responsibility for knowledge of the laws and regulations related to the securities industry and for work in which remuneration is involved. 3PM was created as a forum to share ideas, information, and education as well as to promote the professional development of all third party marketers.

| Promote public awareness of third party marketing and 3PM. 3PM members agree not to promote their own interests at the expense of this Association, their clients or colleagues.
 |
All 3PM member firms, their principals and employees will uphold the principles of this code of ethics and will not commit acts that would discredit the organization.
